Scope of these terms
These terms set out the general framework under which INFRASOFT DEVELOPMENT S.R.L. (“Infrasoft”) provides the services presented on this website. They describe how we typically contract, deliver, and take responsibility.
They are a summary, not the contract itself. Every client engagement is governed by an individually negotiated Master Service Agreement (MSA) and one or more Statements of Work (SOW). Where these terms and a signed agreement differ, the signed agreement prevails in every case.
Services described on this site
The service descriptions on this website — Custom Software Development, Managed IT Maintenance (SLA), Cloud Infrastructure & Data Processing, and CRM Engineering & Data Automation — are indicative. They present our fields of competence; they do not constitute a binding offer.
The exact scope, deliverables, service levels, and pricing of an engagement are defined in the applicable Statement of Work. In particular, SLA commitments — severity levels, response and resolution targets, and any associated penalties — exist only where a signed agreement defines them.
Quotes and contracts
We contract on the basis of a written proposal, prepared after a discovery and audit phase. A proposal is valid for the period stated on it and becomes binding only when both parties sign the corresponding agreement.
INFRASOFT DEVELOPMENT S.R.L. is not currently registered for VAT, and invoices are issued without VAT. If the company becomes VAT-registered, intra-community invoicing rules will apply and clients will be notified before the change takes effect.
Intellectual property of deliverables
Unless the applicable agreement states otherwise, intellectual property rights in deliverables developed specifically for a client are assigned to that client upon full payment of the corresponding invoices.
Pre-existing components — our internal tooling, libraries, methods, and know-how — remain the property of Infrasoft or of their respective owners. Where such components are embedded in a deliverable, the client receives the licence rights defined in the agreement. Open-source components remain governed by their own licences, which we identify on request.
Confidentiality
We treat all client information — technical, commercial, and organisational — as confidential by default, both before and after signature. Confidentiality obligations are formalised in each MSA and survive the end of the engagement for the period it defines.
We name a client publicly, including as a commercial reference, only with that client’s prior written consent.
Data protection
Where an engagement involves processing personal data on a client’s behalf, we act as a processor under Regulation (EU) 2016/679 (GDPR) and sign a data processing agreement (DPA) defining the subject matter and duration of the processing, the security measures, and the authorised sub-processors.
Client data processed under our engagements is hosted in the European Union unless the agreement expressly provides otherwise. Details on how we process personal data collected through this website are set out in our privacy policy.
Liability
Our contractual liability is defined and capped in each MSA. As a general rule, liability caps are proportionate to the fees paid under the relevant Statement of Work, and neither party is liable for indirect or consequential damages, such as loss of profit.
Nothing in these terms or in our agreements excludes or limits liability that cannot be excluded or limited under applicable law.
Governing law and jurisdiction
These terms and, unless otherwise agreed in writing, our client agreements are governed by Romanian law.
Any dispute that cannot be resolved amicably falls under the exclusive jurisdiction of the competent courts of Bucharest, Romania. An individual agreement may provide for a different forum or for arbitration; where it does, that agreement prevails.
